Terms of Service & Privacy Policy

This is an Agreement (“Agreement”) between Supplysail Inc., herein (“Supplysail ”), having an office and place of business at Supplysail , Inc.,Address and the entity agreeing to the terms herein (“Participant”, “You”, “you” or “Customer”). By using or accessing any part of the Service, You agree that you have read, understand, and agree to be bound by all of these terms and conditions. If you do not agree to all of these terms and conditions, You must not use or access the Service. If you are entering into this Agreement on behalf of a company, you acknowledge that you have the authority to bind that company to the terms of this Agreement.

1. Description of Service

Supplysail provides a software as a web service, also referred to as cloud service, named Supplysail (hereinafter referred as “Service” or “Services”). The Service is offered and provided subject to the terms and conditions of this Agreement. The Customer shall connect to the Service using any internet browser or mobile application supported by the Service. The Customer is responsible for obtaining access to the internet and the equipment necessary to access the service.

2. Modification of Terms of Service

Supplysail reserves the right to update and change the Terms of Service from time to time; an updated version will be published on our website at terms of service. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to this Terms of Service. You may terminate your use of the Services if the Terms are modified in a manner that substantially affects your rights in connection with use of the Services. Your continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at terms of service.

3. Restrictions on Use

In addition to all other terms and conditions of this Agreement, you shall not: (i) transfer or otherwise make available to any third party the Services; (ii) provide any service based on the Services without prior written permission; (iii) use the Services for spamming and/or other illegal purposes; or (iv) reverse engineer or access the Service in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, or (c) copy any ideas, features, functions or graphics of the Service.

4. Payment, Refund, and Subscription Terms

  • A free trial is offered without the need for a credit card.
  • To continue using the Services after the free trial period, you must begin a paid subscription which requires a valid credit card. Enterprise customers may request a paper contract that includes alternate billing arrangements including purchase orders.
  • The Service is billed on a monthly and/or annual basis. In both cases, the amount billed is non-refundable. There will be no refunds or credits for partial months of service.
  • Each term shall automatically renew for subsequent periods of the same length as the initial term unless either party gives the other written notice of termination at least thirty (30) days prior to expiration of the then-current term.
  • Information on the subscription options and charges for all paid Services is available in the pricing page of our website.
  • Supplysail reserves the right to change the subscription fee from time to time.
  • In case of non-payment for any reason or any violation of these terms, Supplysail shall be entitled – without liability – to immediately bar Customer’s access to the Service.

5. Data ownership & Privacy

  • Supplysail does not own any customer data. The Customer shall have the sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use any and all customer data.
  • Supplysail provides an automatic data backup for all customer data. This backup solution is built on top of the world’s leading cloud hosting providers like Google, Inc., Amazon.com, Inc., and others. However, there might be rare occasions of data loss or failure to store or retrieve any data due to a defect in our software or the software used by the above-mentioned cloud service providers. In such cases, Supplysail will restore the last backup data in mutual consultation with the customer.
  • Supplysail participates in and has certified its compliance with the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of Personal Data (as defined in the Supplysail Data Processing Agreement) transferred from the European Economic Area and/or Switzerland, as applicable, to the U.S. For additional detail on our commitments with respect to the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks, see our Privacy Policy. To the extent that Supplysail processes any Personal Data as part of Customer Data that is subject to the General Data Protection Regulation (the “GDPR”), on Customer’s behalf, in the provision of the services hereunder, the terms of the Supplysail Data Processing Agreement , which are hereby incorporated by reference, shall apply. For customers that are located in the European Union or the European Economic Area, the Standard Contractual Clauses adopted by the European Commission, attached to the Data Processing Agreement, with Supplysail, Inc., which provide adequate safeguards with respect to the personal data processed by us under this Agreement and pursuant to the provisions of our Data Processing Agreement apply. You acknowledge in all cases that Supplysail acts as the data processor of Customer Data and you are the data controller of Customer Data under applicable data protection regulations in the European Union and European Economic Area. The Customer will obtain and maintain any required consents necessary to permit the processing of Customer Data under this Agreement. If you are subject to the GDPR you understand that if you give an integration provider access to your Supplysail account, you serve as the data controller of such information and the integration provider serves as the data processor for the purposes of those data laws and regulations that apply to you. In no case are such integration providers are considered our sub-processors.
  • Solely and only for the purpose of providing the services to you, with respect to Supplysail functionalities like backup, replication, high availability, caching for speed, performance, throughput and various other functional and non-functional capabilities, you grant Supplysail royalty-free, worldwide permission to access, copy, distribute, store, transmit, reformat, display and perform the content of your account.
  • You hereby consent that, Supplysail may identify you as a Customer of the service (using your name and logo) and generally describe the products or services it provides to you in its promotional materials, presentations, media, press releases and proposals to other current and prospective customers.
  • If a Customer does not renew the subscription for the Service, Supplysail shall provide all Customer Data on explicit written request from the customer in a generally accessible format within 30 days after the end of such term and thereafter may delete the customer account and all of the Customer Data. Please note that some information like billing and subscription may remain with us for accounting and legal reasons. Additionally, Customer Data may remain with us for the period of 90 days on our replication servers and/or high availability servers, beyond which it is completely deleted.

Privacy Policy

Information we collect:

For those users who provide requisite authorization during the account setup and login process, Supplysail collects information from enquiry forms, contacts forms, Google GSuite or Microsoft Office 365, and others, as applicable to provide better service to all users. This includes first name, last name, email address, phone numbers and email groups that users belong to. We store this personal information on Google Cloud Services. Our legal basis for the collection of user data is Art 6 (1) b) GDPR and Art. 6 (1) f) GDPR. Our legitimate interest is to optimize our product, increase user experience, enhance our customer support, marketing and improve our internal process efficiency.

Information we collect as customers use our service.

Supplysail may collect specific information about how customers use our product. This include situations such as how a customer uses a specific feature and when a customer uses the product. The information is collected as data logs, images, or a logical sequence of images/videos to replay an issue encountered by a user. Our logging system automatically collects information such as the internet protocol address, browser type, browser language, referring URL, features accessed, errors generated, time zone, geo-location data, operating system information, and other such information that is transmitted in the header of the user’s HTTP request. This information is stored in log files. Supplysail uses these log files to analyze trends, administer, and improve the application. Our legal basis for the collection of user data is Art 6 (1) b) GDPR and Art. 6 (1) f) GDPR. Our legitimate interest is to optimize our product, increase user experience, enhance our customer support, and improve our internal process efficiency.

Google user data

We use Google APIs for achieving the following:

  • Google OAuth APIs are used to perform a Single Sign On through Google, while doing so we ensure that the email provided by the Google Auth server is a valid user of the Supplysail system.
  • We use Google Drive APIs to retrieve file URLs and Ids of the files attached by the user into his/her Supplysail account. We also manage the permissions of these files through the drive APIs when the workflow on Supplysail attached to these files are on progress.

Cookies

We use cookies on all our websites and software applications. Cookies are small text files that your browser saves on your computer and mobile device, which allow an analysis of your usage. Cookies contain information information about your device and your connection to the Internet, such as: IP address, operating system and browser used. We use our access to the information in the cookies to optimize our offering, to present appropriate content to customers easily, and to improve our advertising and marketing. This is done as follows: Most of the cookies we use are so-called session cookies, which are automatically deleted by your browser after the end of your visit to our website. Session cookies provide us with information about visitor behavior on our website, which we analyze. With the knowledge gained, we will make our website more user-friendly, place important content on the most popular pages and develop our marketing strategies according to the interests of our target audience. Other cookies are stored longer on your device and allow us to recognize you as a user during a subsequent visit to our website. We do not pass on information that we receive through our cookies to third parties. By using the “Incognito” or “Private” mode of your browser, or by means of adjusting the settings in your browser, you can prevent the installation of cookies. As a result, some of the facilitation of operating our website will no longer work. Nevertheless, you can use the website, login and all offers of Supplysail.com even without cookies. How we use the Information we collect

Supplysail uses the above information for the following general purposes: service provisioning, billing, identification and authorization, service improvement, and research. When a customer contacts Supplysail, we may keep a record of customer communication to help solve any issues the customer might be facing.

If you contact us by email or contact form, the information you provide will be stored for the purpose of processing the request and for possible follow-up questions. Please read the section entitled “Your rights to access, rectification, cancellation, limitation of processing, data portability and to withdraw consent”.

  • Service Providers. We may provide access to or share your information with select third parties who perform services on our behalf. These third parties provide a variety of services to us, including without limitation billing, sales, marketing, provision of content and features, advertising, analytics, research, customer service, shipping and fulfilment, data storage, security, fraud prevention, payment processing, and legal services.   • Complying with our obligations: we may process your personal data to comply with our legal or regulatory requirements, where this is required by law.

Modification of this Privacy Policy

We reserve the right to change this Privacy Policy from time to time to ensure that it complies with current legal requirements or to implement changes to our services in the Privacy Policy, such as when introducing new services. Your new visit will be subject to the new privacy policy.
